OPay’s New York IPO Filing Raises Questions Over Employee Share Ownership

Nigerian fintech company OPay has attracted attention over its employee compensation practices following disclosures in its registration documents for a proposed initial public offering (IPO) on the New York Stock Exchange.

The company’s Form F-1 registration statement, filed with the United States Securities and Exchange Commission on October 9, 2026, indicates that OPay had not established a broad-based employee equity incentive programme until April 2026.

The disclosure has raised questions about how employees have participated in the company’s growth, particularly as stock options are widely used by technology companies to attract and retain talent.

Founded in 2017, OPay has developed into a major digital payments provider, offering financial services to <a href="https://absafricatv.com/saps-ambitious-plan-to-upskill-2-million-indians-in-ai-by-2030/” title=”SAP's Ambitious Plan To Upskill 2 Million Indians In AI By 2030″>millions of customers across emerging markets.

According to the filing, the company employed 992 people as of June 30, 2026, including 341 employees working in technology and product development.

In April, OPay’s board approved a new equity incentive programme reserving approximately 168.7 million ordinary shares, representing 9.1% of the company’s share capital on an as-converted basis.

The shares were allocated to Bloom Haven Limited, a British Virgin Islands-registered entity serving as trustee for future employee awards.

However, the registration statement indicated that no participants had received awards under the programme as of the prospectus date.

Further questions have emerged following a Nigerian employment dispute involving a former OPay lawyer, who claimed entitlement to shares under a 2020 employee stock option arrangement.

The National Industrial Court dismissed the former employee’s claims in July 2026, ruling that the required procedures for exercising the options had not been established.

The case nevertheless highlighted questions about the relationship between the earlier arrangement and the company’s newly disclosed equity incentive programme.

OPay’s financial statements for 2024, 2025, and the first half of 2026 did not separately disclose share-based compensation expenses.

Instead, the company’s disclosed remuneration structure has largely relied on salaries and cash bonuses.

As OPay advances its proposed public listing, employee equity participation could become an important consideration for its talent retention strategy.

The company’s new incentive programme provides a framework for future awards, although the timing and allocation of those benefits remain uncertain.

The disclosures also highlight broader discussions about employee ownership and wealth creation within Africa’s rapidly expanding technology sector.
